These Terms of Service (“Terms”) govern your access to and use of Struxy, including the Struxy website, web application, mobile applications, beta features and related services (collectively, the “Service”).
Struxy is operated by Kushagra Mittal, sole trader operating Struxy, of Dublin, Ireland (“Struxy”, “we”, “us”, “our”).
By creating a Struxy account or otherwise accepting these Terms, you agree to them. If you do not agree, do not use the Service.
1. Who may use Struxy
You must be at least 18 years old to use the public beta and legally capable of entering into a contract.
If you use Struxy on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms. Additional business terms may apply to future organisational or enterprise plans.
2. What Struxy is
Struxy is a personal AI and life-administration product intended to help you capture information, organise tasks/reminders/people/plans and related context, retrieve information you previously provided, receive AI-assisted suggestions or answers, and manage aspects of your personal workflow.
Struxy is under active development. Beta features may be incomplete, experimental, changed or removed. The exact features included in your plan or beta access may change over time.
3. Your account
You are responsible for providing accurate account information, maintaining control of the email account used to sign in, protecting your device and authentication sessions, and notifying us promptly if you suspect unauthorised access.
Do not share authentication codes or attempt to access another person’s Struxy workspace.
We may require you to re-authenticate or verify your identity before sensitive account actions.
4. Beta access and Founding Beta status
If you obtain Founding Beta access, our separate Founding Beta Terms apply in addition to these Terms.
Founding Beta status is a status associated with an eligible Struxy account. It does not mean that every present or future Struxy product, service, model, integration, premium feature or paid plan will be free for life.
Where a separate Founding Beta term conflicts with a general provision in these Terms about beta access, the Founding Beta Terms control for that issue.
5. Your Content
You retain ownership of the content you provide to Struxy.
“Your Content” includes captures, notes, voice or text input, tasks, reminders, names, relationship context, corrections and other information you intentionally provide through the Service.
You grant Struxy a limited, non-exclusive licence to host, copy, transmit, structure, analyse and otherwise process Your Content only as reasonably necessary to provide, secure, maintain and improve the Service in accordance with our Privacy Policy and your settings.
This licence ends when the relevant content is deleted from our active systems, subject to limited backup, legal and security retention described in the Privacy Policy.
We do not claim ownership of Your Content.
6. Information about other people
Struxy may help you remember information about people in your life. You are responsible for deciding what information you enter.
You must not use Struxy to unlawfully collect or monitor another person, create covert surveillance records, store information you have no right to possess or disclose, harass/stalk/threaten/exploit someone, or make unlawful decisions about another person.
Do not intentionally submit another person’s highly sensitive personal information unless you have an appropriate lawful and ethical reason to do so.
7. Sensitive information and credentials
Do not use the public beta as a vault for passwords, authentication codes, private cryptographic keys, full payment-card numbers, government identity documents, regulated medical records, or information you are legally prohibited from disclosing.
Struxy may later introduce features specifically designed for particular sensitive categories. Those features may have additional terms, safeguards and notices.
8. AI features
Struxy uses artificial intelligence.
You should expect AI-generated information to sometimes be incorrect, incomplete, ambiguous, outdated, attached to the wrong person/task/date/context, or based on an imperfect interpretation of what you said.
Where Struxy presents information as a proposal, inference, suggestion or general-knowledge output, you should review it before relying on it.
Struxy is designed to preserve user-provided source information and to use reviewable proposals for important structured changes, but no technical control eliminates all AI error.
Struxy is not professional advice
Unless we expressly launch a separately regulated feature, Struxy is not a doctor or medical service, lawyer or legal adviser, accountant/investment adviser/financial planner, emergency service, or substitute for professional judgement in safety-critical decisions.
Do not rely on Struxy as the sole source of information for medical, legal, financial, employment, immigration, tax, safety or other high-impact decisions.

9. Acceptable use
You must not use Struxy to break the law or facilitate unlawful activity; infringe intellectual-property, privacy or other rights; distribute malware; gain unauthorised access; bypass rate limits/access controls/security measures; interfere with the Service or other users; overload or abuse the Service; impersonate another person deceptively or harmfully; facilitate harassment/stalking/coercion/abuse; or create/distribute unlawful or seriously harmful content.
We may investigate suspected abuse and may suspend access where reasonably necessary to protect users, Struxy or third parties.
10. Payments and Dodo Payments
Where Struxy uses Dodo Payments for checkout, Dodo Payments acts as Merchant of Record and reseller/legal seller for the payment transaction.
This means your payment transaction is also governed by Dodo Payments’ buyer terms and privacy policy.
Struxy remains responsible for operating and delivering the Struxy product, subject to these Terms.
Struxy does not normally receive your full payment-card number. Pricing, taxes, receipts, chargebacks and payment-method processing may be handled by Dodo Payments.
11. Refunds, cancellation and consumer rights
Nothing in these Terms removes rights you have under mandatory consumer law.
Where applicable law gives you a right to withdraw, cancel, obtain repair, obtain a price reduction or receive a refund for a digital service, those rights continue to apply.
Payment refunds processed through Dodo Payments must ordinarily be handled through the Merchant of Record rather than by a separate direct payment from Struxy.
If an access-granting payment is fully refunded, charged back, reversed or determined to be fraudulent, the related paid entitlement or Founding Beta access may be suspended or revoked, except where that would conflict with mandatory law.
12. Service changes and beta reliability
Struxy is a beta product.
We may add/change/remove features, change supported platforms, change AI models/infrastructure providers, introduce usage limits, modify beta capacity, migrate data structures, or discontinue experimental features.
We will try to avoid unnecessarily losing user data and to communicate material changes where reasonable, but you should not use a beta service as the only copy of information that would cause serious harm if lost.
We do not guarantee that every feature will always be available or error-free.
13. Integrations and third-party services
Struxy may connect to or rely on third-party services. Those services may have their own terms and privacy policies.
Examples may include payment providers, AI-inference infrastructure, analytics, cloud infrastructure, authentication, community platforms, and future email/calendar/communications integrations.
We are not responsible for third-party services that you independently choose to connect, except to the extent required by applicable law or our direct contractual obligations to you.
14. Intellectual property
Struxy, including its software, branding, design, documentation and other materials supplied by us, is owned by or licensed to Struxy and is protected by intellectual-property law.
These Terms do not give you ownership of Struxy’s intellectual property.
Subject to these Terms, we give you a limited, personal, revocable, non-exclusive and non-transferable right to use the Service for its intended purpose.
15. Feedback
You may choose to give us feedback, ideas or suggestions.
You grant us permission to use that feedback to improve, develop and commercialise Struxy without owing compensation, provided that this does not transfer ownership of your private User Content to us.
We will not intentionally publish private feedback as an attributed testimonial without permission.
16. Privacy
Our Privacy Policy explains how we process personal data.
Our Cookie & Tracking Policy explains non-essential analytics and similar technologies.
Our AI Transparency Notice explains important aspects of AI processing.
17. Suspension and termination
You may stop using Struxy at any time and may request account deletion in accordance with the Privacy Policy.
We may suspend or terminate access where reasonably necessary because you materially breach these Terms, payment entitlement is invalid/refunded/reversed, your use poses a security or legal risk, we are required to do so by law, or continued provision of the Service is no longer reasonably possible.
Where practical and lawful, we will try to give notice before terminating an account for reasons other than urgent security, fraud or legal concerns.
18. Disclaimers
Struxy is provided with the level of care and skill required by applicable law.
Subject to mandatory consumer rights, we do not promise that AI outputs will always be correct, Struxy will remember every item perfectly, every inferred relationship will be accurate, the Service will be uninterrupted, beta features will remain unchanged, or Struxy will be suitable for a particular professional or safety-critical purpose.
Nothing in these Terms excludes warranties or obligations that cannot lawfully be excluded.
19. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer-protection law.
If you are a consumer, your statutory rights remain unaffected.
Struxy is not liable for losses caused by your unreasonable reliance on an AI-generated suggestion after the Service clearly identified it as uncertain, inferred or requiring review, except where applicable law provides otherwise.
For users acting wholly in the course of business, and to the maximum extent permitted by law, our aggregate liability arising from the Service will not exceed the greater of (1) the fees paid for the Service during the 12 months before the event giving rise to liability or (2) EUR 100.
The business-user limitation above does not apply to fraud, wilful misconduct, death or personal injury caused by negligence, or other liability that cannot legally be limited.
20. Changes to these Terms
We may update these Terms as Struxy evolves.
For material changes, we will provide reasonable notice through the Service, website or email where appropriate.
If a material change requires renewed acceptance, we may ask you to accept the updated Terms before continuing to use the Service.
The terms version accepted by your account may be recorded for compliance and audit purposes.
21. Governing law and disputes
These Terms are governed by the laws of Ireland, except that mandatory consumer protections of your country of residence continue to apply where required.
If you are a consumer in the EEA, nothing in these Terms prevents you from relying on mandatory rights or bringing a claim in a court that applicable consumer law permits.
Before starting formal proceedings, you are encouraged to contact support@struxy.app so we can try to resolve the issue.
22. General terms
If part of these Terms is unenforceable, the remaining provisions remain in effect to the extent permitted by law.
A delay in enforcing a provision is not a waiver of that provision.
You may not transfer your account or these Terms without our consent. We may transfer our rights and obligations as part of a reorganisation, financing, acquisition or sale of the business, subject to applicable law and continued protection of your rights.
